Purpose and Scope
At Obra Capital (“Obra”), we aim to achieve attractive and diversifying returns while mitigating both investment and downside risk through underwriting, structuring, and active asset management. As part of our investment process, we consider if there are any relevant environmental, social, and corporate governance (ESG) factors, where applicable. Recognition of evolving ESG factors is particularly relevant in that they can, over time, potentially affect the performance of our investments to varying degrees across companies, sectors, regions, counterparties and asset classes. By incorporating ESG considerations into our investment decision processes, we believe Obra’s investment professionals conduct more thorough analyses and make better-informed investment decisions.
The purpose of this ESG Policy is to outline how Obra incorporates ESG considerations into the investment and asset management process as relevant to each strategy. The policy was developed in consideration of the United Nations Principles for Responsible Investment (“UN PRI”).
Guidelines outlined in this policy apply to investments considered by Obra’s Investment Committee as of the effective date of this policy. Given the diversity of the investment strategies that we implement, ESG implementation will vary appropriately based on ESG materiality within each investment strategy and asset.
Governance
Obra’s ESG Policy and procedures are overseen by the ESG Committee. The ESG Committee is responsible for ensuring that Obra’s ESG Policy is integrated into our business practices and embedded into our investment considerations, as applicable.
The ESG Committee is a multi-disciplinary team comprised of investment professionals across our strategies, members from the firm’s infrastructure teams and investor relations. Roles on the committee include a Moderator and a Secretary.
To support Obra’s commitment to ESG and ensure proper implementation, investment professionals participate in ESG training and education.
Implementation
Obra has found that ESG factors have different applications across our different investment strategies, and each strategy implements ESG procedures in the manner most applicable to its investment process. ESG integration within our investment strategies is applied where data and opportunities are available and where consistent with our duties. Except in certain circumstances driven by regulation, geographical restrictions, or investor request, we do not require ex ante criteria for exclusion or inclusion.
1. Special Situations: Our special situations strategies seek opportunities in cross asset and multi-risk transactions at the intersection of credit and insurance, providing capital solutions to a variety of market participants. As part of this strategy, we seek to evaluate ESG factors where applicable, alongside many other factors.
2. Asset-Based Finance: Our asset-based finance strategies strive to be cycle agnostic and produce non-correlated returns by offering principal-protected returns through market cycles. As part of this strategy, we seek to consider ESG factors where applicable, alongside many other factors.
3. Structured Credit: Within our structured credit strategy, we seek to evaluate ESG factors where possible. Where we have access to applicable, available, and reliable data during the due diligence process, we may assess potential issuers on governance structures and employment practices.
4. Longevity: We believe our longevity strategy produces ESG-related impacts due to the nature of the asset class. Through this strategy, we believe that our investments achieve positive social impacts for individual life insurance policy holders by providing financial relief. These investments give policyholders immediate access to funds which can result in a variety of personal benefits such as improving their quality of life and reducing financial burdens.
5. Corporate Credit: Our corporate credit strategy seeks to invest in high yield corporate bonds and leveraged loans. As part of this strategy, we seek to consider ESG factors where applicable, alongside many other factors.
6. Real Estate: Our real estate strategy seeks to generate attractive risk-adjusted returns and predictable cash flow by investing in short-duration first lien commercial real estate credit. As part of this strategy, we seek to consider ESG factors where applicable, alongside many other factors.
At Obra, we have developed an organic ESG process which differs by investment strategy and is applied on an ad hoc basis where data and opportunities are available and consistent with our duties. We believe that the integration of applicable ESG factors can provide additional benefits for our investors.
Transparency and Reporting
Obra is committed to appropriate levels of transparency in our business operations. We aim to comply with applicable transparency regulations, including required reporting to investors. In addition, we aim to voluntarily report matters related to ESG where applicable.
As a signatory to the UN PRI, Obra is required to report on our ESG activities according to the guidelines of the PRI. We also make this policy publicly available on our website https://www.obra.com/.
The ESG Committee reviews this policy on an annual basis and will review and update the policy on an ad hoc basis as/if there are material changes to the ESG integration of our investment processes.
